We reserve the right to update and change the Terms and Conditions by posting updates and changes to the Platform. You are advised to check the Terms and Conditions from time to time for any updates or changes that may impact you. If at any point such amendments are not acceptable to you, we advise you to cease using the Platform at such time.

ELIGIBILITY

You must be at least 18 years old to use Talksy. By using our Platform, you represent and warrant that:

You are at least 18 years of age
You have the right, power, and authority to agree to these Terms
You are capable of entering into a legally binding agreement
You will comply with all applicable laws and regulations while using our Platform
All information you provide is accurate, current, and complete

DEFINITIONS

"Platform" refers to the Talksy website (www.talksy.in), mobile application, and all related services and features.

"Services" means all features, functionalities, and services provided by Talksy including but not limited to anonymous audio/video calling with listeners, coin-based payments, listener selection, and feedback features.

"User" or "Caller" means individuals who use the Platform to connect with Listeners for audio/video conversations.

"Listener" means verified individuals who provide listening and conversation services to Users through the Platform.

"Coins" refers to the virtual currency used within the Platform to pay for calls with Listeners.

"Call Session" means an audio or video conversation between a User and a Listener facilitated through our Platform.

"Payment Instrument" includes credit card, debit card, bank account, digital wallets, UPI, or any other payment methods accepted by our Platform.

"Community Guidelines" refers to our rules and standards for user behavior and conduct on the Platform.

ACCOUNT AND REGISTRATION

To use certain features of our Platform, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your account credentials secure and confidential
Not share your account with others or allow others to use your account
Notify us immediately of any unauthorized use of your account
Take responsibility for all activities that occur under your account

PLATFORM SERVICES

Talksy provides an anonymous audio/video calling platform that enables users to:

Create accounts using phone number authentication (OTP)
Browse and select from available verified Listeners
Purchase coins to pay for call sessions
Engage in anonymous audio or video calls with Listeners
Provide feedback and ratings after call sessions
View call history and coin balance
Delete account and data at any time

Important: Talksy facilitates connections between Users and Listeners but does not provide counseling, therapy, medical advice, or professional services. Listeners are not licensed therapists or healthcare professionals. Our Services are for casual conversation and support only.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice.

COINS AND PAYMENTS

Talksy uses a coin-based payment system for call sessions. By purchasing coins, you agree that:

Coins are virtual currency used exclusively within the Talksy Platform
Coins have no cash value and cannot be exchanged for real currency
You pay for coins upfront using accepted payment methods
Coins are deducted from your balance when you make calls to Listeners
Call rates vary by Listener and call type (audio vs. video)
Payments are processed through secure third-party payment processors
All coin purchases are final and non-refundable, except as required by law or our Refund Policy
Unused coins remain in your account until used or account deletion
We may change coin pricing with advance notice
You are responsible for keeping your payment information current

Refunds: Coin purchases are generally non-refundable. However, refunds may be issued in cases of technical errors, unauthorized transactions, or as required by law. See our Refund Policy for details.

Account Deletion: Upon account deletion, any remaining coin balance will be forfeited and cannot be refunded.

COMMUNITY GUIDELINES AND PROHIBITED CONDUCT

Talksy is committed to maintaining a safe, respectful, and positive community. The following behaviors are strictly prohibited:

Harassment and Safety Violations:

Harassment, bullying, intimidation, or threats toward other users
Sharing personal information of others without consent
Stalking or unwanted persistent contact
Creating fake profiles or impersonating others
Engaging in discriminatory behavior based on race, religion, gender, sexuality, or other protected characteristics

Inappropriate Content:

Sharing explicit, sexual, or inappropriate content
Posting violent, graphic, or disturbing materials
Transmitting hate speech or promoting illegal activities
Sharing spam, promotional content, or commercial solicitations
Recording conversations is strictly prohibited - All audio/video calls are private and must not be recorded, shared, or distributed

Platform Misuse:

Using automated systems, bots, or scripts
Attempting to hack, exploit, or compromise platform security
Creating multiple accounts to circumvent restrictions
Sharing account credentials or selling accounts
Reverse engineering or copying our software
Using the platform for commercial purposes without authorization

Legal Violations:

Engaging in any illegal activity
Violating intellectual property rights
Transmitting malware, viruses, or harmful code
Facilitating fraud or financial crimes

Reporting: Users can report violations through our in-app reporting system. We investigate all reports and may take action including warnings, temporary suspensions, or permanent bans.

USER CONTENT AND INTELLECTUAL PROPERTY

You retain ownership of content you create and share on Talksy. However, by using our Platform, you grant us certain rights:

A non-exclusive license to use, display, and distribute your content for platform operations
The right to moderate, remove, or restrict content that violates these Terms
Permission to use your content for platform improvement and development

You represent that you own or have the right to share all content you post and that it doesn't violate any third-party rights.

PRIVACY AND DATA PROTECTION

Your privacy is important to us. We collect, use, and protect your personal information as described in our Privacy Policy. By using Talksy, you consent to:

Collection of phone number for account authentication
Collection of call metadata (duration, time, participants) for billing and service functionality
Collection of payment information for coin purchases
Collection of device information for technical support
Use of 100ms/Agora SDK for audio/video call transmission
Communications from us about your account and services

Important Privacy Notice:

We DO NOT record your audio or video calls
We DO NOT store the content of your conversations
Calls are transmitted in real-time through encrypted channels
Only call metadata is stored for service functionality

We implement industry-standard security measures to protect your data, but cannot guarantee absolute security. For complete details, please read our Privacy Policy.

ACCOUNT TERMINATION

We may suspend or terminate your account if you:

Violate these Terms or Community Guidelines
Engage in behavior that harms other users or the platform
Fail to pay subscription fees
Provide false information or create fake accounts

You may delete your account at any time through the app settings. Upon account deletion:

Your phone number will be anonymized (soft delete with PII anonymization)
Your coin balance will be set to zero (non-refundable)
Historical transaction data will be preserved for legal compliance
Call session metadata will be retained in anonymized form
You can still log in after deletion (data remains anonymized)

LIMITATION OF LIABILITY

Talksy provides its services "as is" and "as available." We make no warranties or guarantees about the platform's functionality, availability, or your experience with other users.

To the fullest extent permitted by law, Talksy shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to:

Interactions with other users
Technical issues or service interruptions
Loss of data or content
Unauthorized access to your account
Third-party conduct or content

You agree to indemnify and hold harmless Talksy and its affiliates from any claims, damages, or expenses arising from your use of the platform or violation of these Terms.

GOVERNING LAWS & DISPUTE RESOLUTION

Please note that these terms of use, their subject matter and their formation, are governed by the laws of India. You and we both agree that the courts of India will have exclusive jurisdiction over any dispute.

Any dispute or claim arising out of or in connection with or relating to these Terms or their breach, termination or invalidity hereof ("Dispute") shall be referred to and finally resolved by arbitration in Bengaluru in accordance with the Arbitration and Conciliation Act, 1996 for the time being in force, which rules are deemed to be incorporated by reference in this clause. Within 30 (thirty) days of the issue of a notice of Dispute, the parties shall mutually agree on the appointment of a sole arbitrator. If such mutual agreement is not arrived at within the aforesaid 30 (thirty) days' period, the parties shall appoint such sole arbitrator in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India and the arbitration proceedings shall be conducted in the English language. The parties shall keep the arbitration confidential and not disclose to any person, other than those necessary to the proceedings, any information, transcripts or award unless required to do so by law. The decision of the arbitrator shall be final and binding on all the parties hereto. The parties hereto agree that their consent for resolution of Dispute through arbitration shall not preclude or restrain either of them from seeking suitable injunctive relief in appropriate circumstances from courts in Bengaluru. The cost of arbitration shall be borne in the manner and by a party as determined by the arbitrators. In the meantime, each party shall bear its own cost for the arbitration which shall be reimbursed as per the directions in the arbitral award.

For urgent safety concerns or to report serious violations of our Community Guidelines, please use our in-app reporting feature for immediate attention.

DISCLAIMER AND WARRANTIES

Service Availability: While we strive to maintain consistent service, we do not guarantee that Talksy will be available 24/7 or free from interruptions. We may perform maintenance, updates, or modifications that temporarily affect service availability.

User Interactions: Talksy facilitates connections between users but does not control, monitor, or take responsibility for user interactions, conversations, or relationships formed through the platform. Users interact at their own risk and discretion.

Payment Security: All payments are processed through secure third-party payment processors. You are responsible for providing accurate payment information and maintaining the security of your payment methods. We are not liable for unauthorized use of your payment instruments.

User-Generated Content: Content shared by users has not been verified or endorsed by Talksy. User opinions, statements, and content do not represent our views or values. Users are solely responsible for their content and interactions.

Third-Party Links: Our platform may contain links to external websites or services. These links are provided for convenience only and do not constitute endorsement of the linked content or services.

Technical Security: While we implement security measures, no system is completely secure. You are responsible for keeping your device and account secure, including using up-to-date security software.

Matching Algorithm: Our matching system is designed to connect compatible users, but we cannot guarantee successful matches, friendships, or relationships. Compatibility is subjective and results may vary.
